AMC - NZMS Merger Proposal

Purpose: To update AMC and NZMS members on the status of the AMC-NZMS Merger Proposal.

27 Jan 2009 - Merger Ballot
The Merger Ballot document details the terms of the merger and allows AMC members to provide a proxy postal vote on the merger. There is no requirement to vote through the postal ballot; members may instead choose to vote in person at the AGM or not to vote at all. Postal ballots must be received by 28 February 2009.
Once provided a proxy may NOT be withdrawn.

The AMC-NZMS merger will be voted on by AMC members at the 2009 AGM, 4pm Sunday 15 March 2009, Royal on the Park Hotel, Brisbane. New Zealand Map Society has already voted in favour of the merger.

24 Oct 2008 - Merger Proposal: Final
The Merger Working Group has produced the final version of the Merger Proposal (see below) documenting its recommendations, including background, objectives, terms, milestones and resolutions.

25 Aug 2008 - Merger Proposal: Draft
The Merger Working Group has produce a draft Merger Proposal (see below) to document its recommendations; input from members was accepted until 19 Sep and is now closed.

05 Aug 2008 - Merger Brief.
The Merger Working Group has produced a Merger Brief (see below) to document a shared understanding and agreed basis for the proposed merger.

30 May 2008 - Roadmap.
The Merger Working Group has produced a Roadmap (see below) to communicate to members the timeline and process for development of the merger proposal.

Background

Informal discussions started in early 2007 on a possible merger of the Australian Map Circle (AMC) and New Zealand Map Society (NZMS).

AMC 2008 AGM resolution – Wed 13 Feb 2008
The membership agree that the Executive begin discussions with the NZ Map Society on the proposal, and prepare a proposal for consideration by the membership. A special postal/electronic vote may be held following the distribution of that report.

NZMS 2008 AGM resolution – Wed 13 Feb 2008
… the NZMS agrees in principle to a merger with the AMC. The NZMS Committee will be responsible for negotiating with the AMC the form of the new organisation and any conditions of the merger.

A working group comprising John Cain (AMC), Brian Marshall (NZMS), John Robson (NZMS) and Martin Woods (AMC) has been tasked with developing a "proposal" to be put to members of AMC and NZMS in the second half of 2008.
